Terms of service

Draft under legal review. These terms describe how the platform works today and are being reviewed by our advisers.
1. Who we are
The Fractional Roster is operated by Greenlight Partners LLP, a limited liability partnership registered in England and Wales under number OC430266, with its registered office at 167-169 Great Portland Street, Fifth Floor, London, England, W1W 5PF. You can reach us at support@greenlight-partners.co.uk.
In these terms, "we" and "us" mean Greenlight Partners LLP. "You" means the business, or the person acting for a business, using the Roster.
2. Business use only
The Roster is intended for business use only. By creating an account, buying an introduction, subscribing or purchasing a consultant service, you confirm that you are acting wholly or mainly for purposes relating to your trade, business, craft or profession. It is not intended for consumers, and a consultant participating on the Roster does so in the course of their own business.
3. What the Roster is, and what we do
The Fractional Roster is a marketplace where businesses describe a problem and are matched to fractional consultants who can help with it. We provide search and matching, a controlled introduction service, subscriptions, and a limited transaction facility for smaller, defined consultant services.
We introduce. We do not deliver. Fractional consultants listed here are independent. They are not our employees or subcontractors, and we do not select, supervise, direct or guarantee their work. In facilitating a transaction, we may act as an intermediary for the consultant; that role is limited to the transaction and does not make us the supplier of the consulting service.
We may set eligibility, presentation, conduct and transaction standards for use of the Roster. These standards do not make us a party to, or responsible for, a consultant's delivery of their services.
Where a consultant offers a defined piece of work at a set price, you may be able to buy it through the platform. In that case the consultant is the supplier and the seller. Your contract for the work is with them. We facilitate the introduction and the transaction and charge a commission for doing so.
4. Accounts
One account type per login. Each login supports one account type. A person who genuinely needs both a buyer and a consultant account must use a separate email address for each.
You are responsible for the accuracy of what you provide and for keeping your login secure.
We may decline, suspend, restrict or close an account where we reasonably believe it is necessary to protect other members, prevent misuse, or maintain the integrity of the marketplace. Where we suspend or close an account, we will record the reason.
What happens to what you have paid for. If we restrict or close an account, we will take account of the reason for the action, any money already paid, any active introductions or transactions, and whether withholding access or value would be proportionate. Where an account is closed because of the member's own material breach, a refund is not due for the remainder of a subscription period, and credits connected to fraud, chargebacks or fee circumvention may be removed. Where we restrict access temporarily to investigate, unspent credits remain on the account and we will normally pause billing or prevent renewal while the restriction continues.
We may retain identifiers associated with suspended accounts where reasonably necessary to prevent fraud, abuse or repeated breaches, subject to our privacy policy.
5. For consultants
Listing. You may hold one profile for free. A subscription unlocks up to four, each presenting a different facet of your work. All profiles must belong to the same consultant or business, each must truthfully represent a genuine capability or proposition, profiles must not impersonate separate people, and a subscription may not be shared across unrelated consultants.
Your content is yours. You write and approve everything on your profile. Where we have drafted a first pass from information you previously gave us, that draft is a starting point and you may change or remove any of it. It is not treated as final without your chance to edit or withdraw it.
Accuracy. You are responsible for what your profile says, and for keeping it accurate once you have had the chance to edit it. Do not claim experience, qualifications or results you do not have.
The Greenlight verified badge is awarded only on completion of our verification process and sign-off. It cannot be bought and it is not granted automatically. It reflects that process and nothing more. It is not a guarantee of suitability for a particular engagement, of the accuracy of every statement on a profile, or of the outcome of any work.
Availability shown on your profile is indicative, not a commitment. Buyers and consultants must confirm timing, capacity and start dates directly before agreeing an engagement.
Responding. To keep matching useful, you should respond to genuine introduction requests within a reasonable period, including where the answer is no. We may temporarily reduce or pause the visibility of profiles that repeatedly do not respond.
Selling directly. Where you sell a service through the platform:
- For services you sell through the Roster, you contract with the buyer as the supplier of those services. The payment flow and transaction documentation are intended to identify your business as the seller.
- You are responsible for disputes and chargebacks that arise from your service, conduct or breach. Where a buyer disputes such a payment, the amount is debited from your account balance, and if your balance cannot cover it you remain liable to us for any amount we are required to cover. You are not responsible to the extent a dispute, refund, reversal, fee or negative balance was caused by our error or breach.
- Our commission is 10% of the service price. VAT is charged on our commission where applicable. The commission is calculated on the service price excluding VAT and any separately identified taxes.
- Direct selling is enabled by us for individual consultants. It is not automatic, and we may withdraw it, and will tell you if we do.
6. For buyers
Searching and matching are free. Anyone using the Roster for business can describe a problem and see who matches, subject to the fair-use section below. What you pay for is an introduction, not search.
What an introduction is. An introduction occurs when a consultant accepts your request and the platform releases contact details or enables direct contact between you. An accepted introduction is used even if you do not go on to agree work. A declined or expired request does not use one. Where contact is released in error or through a system fault, we will restore the introduction. An introduction is access to a willing conversation. It is not a promise of a reply, a meeting, a proposal, a contract, an appointment or a result.
Paying for introductions. To contact a consultant you need an introduction available, either from your subscription allowance or from credits you have purchased. Nothing is charged when you reach out; an introduction is only used on release as described above.
Review before contact. We may decline, restrict or require further verification of a buyer account where we reasonably believe this is necessary to protect consultants, prevent misuse or maintain the integrity of the marketplace. We may not always be able to share full details of our checks.
Your own due diligence. Matching information supports your assessment and does not replace it. You remain responsible for deciding whether a consultant is suitable for a particular engagement and for completing any checks required by your organisation, your sector or applicable law (which may include references, qualifications, insurance, right to work, conflicts, security, data protection and employment-status or IR35 considerations).
Contact details of consultants are not published on the Roster and are shared only when the consultant agrees to an introduction. You may not extract, publish, resell or systematically collect them.
7. Prices, payment and VAT
All prices are exclusive of VAT, which is added where applicable. Prices shown are in pounds sterling or US dollars depending on your location.
Consultant subscription: £50 per month, or $70, plus VAT. Unlocks up to four profiles.
Buyer subscription: £50 per month, or $70, plus VAT. Includes five introductions per month and, for each match, an explanation of the profile information and experience that contributed to it. The allowance resets on your billing date, does not roll over, and included introductions are used before any purchased credits.
Introduction credits: purchased in packs, plus VAT. Credits remain available while the relevant account and the introduction service remain active. They have no cash value, cannot be transferred or resold, and may be withdrawn where the original payment is refunded, reversed or charged back.
Service purchases: the consultant sets the price. Our commission is 10% of that price, plus VAT on the commission where applicable. Service purchases through the platform are capped at £1,000 or $1,500. The cap applies to the total value of a connected scope of work, excluding VAT, and related work must not be divided into separate purchases to avoid it. Work above the cap is arranged by introduction.
Payments are processed by Stripe. We do not store card details.
8. The service contract between buyer and consultant
Where you buy a defined service through the platform, a contract is formed between the buyer and the consultant, incorporating the consultant's service listing (its scope, deliverables, price and any stated assumptions) and a standard service-purchase agreement. Greenlight facilitates the transaction but is not a party to that service contract.
9. Cancellation and refunds
Subscriptions. Cancelling prevents the next renewal. Your paid access continues until the end of the current billing period. Fees already paid are not refunded merely because you stop using the service before that period ends. This does not affect your rights in respect of a billing error or a paid service we fail to provide.
Credits are not refundable in themselves, subject to the treatment in section 7.
Service purchases are between you and the consultant. Where something goes wrong, contact the consultant first. If that does not resolve it, contact us and a person will look at it. We may refund or waive our own fee where we consider that appropriate; this does not determine whether either party owes the other a refund under their service agreement or applicable law. Where a service dispute is raised with us, we may gather evidence, pause further selling by the consultant, restrict the consultant, and support communication, in line with our payment processor's requirements.
Chargebacks. Where a buyer charges back a credit purchase, we may reverse unspent credits and suspend the account pending review.
10. Conduct and fee circumvention
You may not use the Roster to harass, mislead or spam other members, or to use member access or contact information for unsolicited mass marketing, list-building, recruitment unrelated to a genuine brief, or other purposes inconsistent with the reason access was provided.
You must not use information or relationships obtained through the Roster to deliberately avoid a fee that would otherwise have been payable for that transaction, for a period of 12 months from the introduction. This does not restrict genuinely pre-existing or independently sourced relationships, which you may disclose to us.
You can report another member, and you can block one. We look at reports and may warn, restrict or suspend an account.
11. No scraping or automated access
You may not use bots, scrapers, crawlers, or any other automated means to access, copy, index, or extract data from this site - including profile content, contact details (whether or not they're visible to you), pricing, search results, or platform statistics - except for the standard, publicly-declared crawling of a search engine acting on our behalf. This includes bypassing or attempting to bypass rate limits, access controls, or the intro-credit gating on consultant contact details.
We monitor access to the platform and log requests for anomaly detection. Accounts or IP addresses found scraping, or attempting to circumvent these restrictions, may be rate-limited, suspended, or blocked without notice.
12. Fair use
The Roster includes some genuinely expensive things: intelligent matching, the market read, and Ava. We would rather give you those generously than meter you by the click, so our limits are set far above what anyone uses in practice. Most members will never come close to them, and we are not counting your normal work.
We do set a monthly ceiling on each of them, for two reasons: it keeps the platform fast for everyone, and it stops an automated script running up a bill on an account.
If you reach a limit, you keep working. On search, the matching itself does not change at all. You see the same experts, ranked the same way, in the same numbers. The only difference is that we write a simpler line explaining why each one fits, instead of the detailed one, until your next monthly reset. Nothing is taken away, and nothing stops.
Where we cannot fall back to a simpler version, on Ava for example, we will tell you plainly and point you to a person who can help.
Limits reset at the start of each month.
If you are doing something legitimate that needs more, please just ask. We would rather hear from you than throttle you, and we can put your allowance back while we work out what you need.
This is different from automated or scripted access, which is covered in the section above and is not permitted at any volume.
13. Availability of the platform
We aim to keep the Roster available and reliable, but we do not guarantee uninterrupted or error-free access. We may carry out maintenance, change features, or temporarily restrict access where reasonably necessary, including because of a third-party failure. This does not affect any express rights you have in respect of a paid service we fail to provide.
14. Your data
How we handle personal data is set out in our privacy policy at /privacy. In summary: we hold what you give us, we use it to run the marketplace, we do not sell it, and you can export or delete your account and data at any time.
Where a consultant profile was created from information provided when joining a predecessor service, that person can edit or remove it at any time, including without creating an account.
15. Limits on our liability
15.1 Our responsibilities
We will operate the Roster with reasonable care and skill. This includes:
- providing the paid subscription access and platform features you have purchased;
- maintaining reasonably accurate records of introductions, credits and payments;
- performing our stated role in transactions facilitated through the Roster;
- handling personal data as described in our Privacy Policy; and
- taking reasonable steps to investigate and correct material platform errors brought to our attention.
15.2 The limits of our role
The Roster provides search, matching, introductions and transaction facilitation. We do not select consultants on behalf of buyers, supervise their work or guarantee their suitability, availability, performance or results.
Consultants are responsible for the services they provide. Buyers are responsible for deciding whether a consultant is suitable for a particular engagement and for carrying out any checks their organisation requires before appointing them.
To the fullest extent permitted by law, we are not responsible for:
- the conduct, statements or omissions of another user;
- the accuracy of information supplied by users;
- whether an introduction results in a response, meeting, engagement or completed project;
- the quality, timing, legality or outcome of consulting services provided by a consultant;
- a buyer's decision to appoint a consultant;
- a consultant's decision to accept, decline or end an engagement;
- lost contracts, revenue, profit, business opportunity, goodwill or anticipated savings; or
- events outside our reasonable control.
15.3 Our financial responsibility
Except where section 15.5 applies, our total liability to you arising out of or in connection with the Roster, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed the total fees paid directly to Greenlight Partners LLP by you during the 12 months immediately before the event giving rise to the claim.
15.4 Platform errors
Where we make a material error in processing a payment, recording an introduction, accounting for credits or otherwise administering the platform, we will take reasonable steps to correct that error.
Depending on the circumstances, this may include restoring introductions or credits, correcting account balances, refunding amounts incorrectly charged by us, or making another appropriate adjustment.
This section applies only to errors within our control. It does not make us responsible for disputes between buyers and consultants, the performance of consulting services, or losses arising from another user's actions.
15.5 Liabilities that cannot be limited
Nothing in these terms excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot lawfully be excluded or limited.
If any part of this section is found to be unenforceable, the remainder will continue to apply.
16. Changes to these terms and to the service
We may update these terms and change or improve the service as the platform develops. A change to a subscription price will apply from a future renewal, with reasonable advance notice, so you can cancel before it takes effect. Changes will not retrospectively remove introductions, credits or access you have already paid for in the applicable paid period, except where necessary for security, to comply with the law, or to address misuse. Where a change materially affects what you have paid for, we will tell you before it takes effect.
17. Governing law and disputes
These terms, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you use the Roster from outside the United Kingdom, the mandatory laws of your own country may still apply to you.
